Note Regarding Calculation of Assets Under Management (AUM)

Assets under management (“AUM”) includes leverage, warehoused assets and uncalled capital commitments, if applicable. The calculation methodology of AUM varies by business unit and fund structure. Amounts may not total due to rounding.
 
The AUM of the accounts managed by the Equity and Distressed Investing/Control Distressed Debt and Corporate Credit/Corporate Mezzanine Lending divisions, certain Corporate Credit/U.S. Corporate Debt CDO accounts, GSC Capital Corp. and GSC Investment Corp., represents the sum of cash, uncalled capital commitments, as applicable, and the market value of each investment. The AUM of certain Corporate Credit/U.S. Corporate Debt CDO accounts and the European Corporate Debt CDO accounts represents the principal balance of the underlying assets adjusted for defaulted securities plus the market value of equity securities, all as measured under the relevant account documents. The Structured Mortgage Products/Structured Finance CDO accounts hold both synthetic and cash investments for which the AUM represents the notional value of the underlying investments in the accounts plus any uninvested cash balances. The AUM of the Structured Mortgage Products whole loan accounts represents the sum of the outstanding principal balances of the underlying loans. In all cases, the value of the underlying assets may differ significantly from the AUM calculations set forth herein.
 
AUM is calculated as of the indicated date. The calculations do not reflect changes in the number or size of GSC Group funds since that date.
